Sales Contract

By registering for and using this software, you agree to this Contract and the Data Privacy Policy. This Contract constitutes a binding contract between you and Rightfile Limited.

The Seller agrees to provide the Buyer with access to the selected service plan as described on the Seller’s platform.

This Contract becomes effective upon acceptance and remains in force for the duration of the selected service plan, subject to ongoing payment. Unless cancelled in accordance with Clause 8, the contract will automatically renew at the end of each term for successive periods of equal length, at the Seller’s prevailing published price.

The Buyer agrees to pay the published fees for the selected service plan through the Seller’s designated payment gateway.

Upon receipt of payment, the Seller will activate the Buyer’s service plan and provide access to the service.

You consent to the collection and processing of structured data you submit, including but not limited to profile, period, title, mode, task, and task detail. This data is used solely to generate dashboards, comparisons, rankings and analytical outputs initiated by you.

All data visibility, sharing, validation, and task assignment are initiated and controlled by you. The platform does not perform automated profiling, behavioural inference, or thirdparty data processing. When sharing data, you represent compliance with applicable confidentiality obligations.

You may cancel within seven (7) days after payment and obtain a full refund. After seven (7) days, fees are nonrefundable. Accounts may be suspended without prior notice in cases of breach of terms, legal risk, or compliance concerns. Suspended accounts are not entitled to refunds for the unexpired portion of the contract.

The Contract will automatically terminate if payment is not received when due. Upon termination, you may choose whether your data is retained or permanently deleted. Retained data remains inert and used solely for potential reactivation. Deleted identifiers cannot be restored. Historical logging and breakperiod rules apply as set out in Clause 15.

You consent to the transfer, storage, and access of your data in jurisdictions outside your country of residence, solely for service delivery

We may use anonymized and aggregated user data to generate comparative rankings and benchmarking outputs. Departures do not alter existing benchmarking results

You represent and warrant that all data you submit is accurate, legally obtained, and does not infringe on the rights of others.

We apply encryption, access controls, and infrastructure safeguards to protect your data. You are responsible for maintaining the confidentiality of your login credentials

The Seller’s liability under this Contract is limited to the amount paid by the Buyer for the applicable plan. To the extent permitted by law, you waive claims for indirect, incidental, or consequential damages.

New users may log data for periods prior to their initial registration date free of charge. If a user terminates and later rejoins, logging data during the break period requires payment of the applicable fee. Historical data is always retained in anonymized and aggregated form for benchmarking. If identifiers were retained, historical data is reopened free of charge once breakperiod fees are paid. If identifiers were deleted, historical data cannot be restored to the account, though it continues to contribute anonymously to benchmarking outputs.

This Contract shall be governed by and construed in accordance with the laws of Hong Kong SAR, China, without regard to conflict of law principles.

This Contract, together with the Data Privacy Policy, constitutes the entire Contract between the parties with respect to the sale and use of services
